1. IntroductionThis Affiliate Program Agreement (the "Agreement") governs the terms and conditions for participation in the Mailreef Affiliate Program (the "Program"). By participating in the Program, you (the "Affiliate") agree to abide by this Agreement.

2. Affiliate Program Overview
‍Mailreef will pay the Affiliate a commission for referred customers who purchase eligible products and services from Mailreef, subject to the exclusions and limitations outlined below.

3. Eligibility for CommissionsCommission Rate: The Affiliate will earn 10% of the net sale amount for each qualifying purchase made by a referred customer, excluding any discounts, refunds, taxes, and other charges.

‍Commission Cap: There is a maximum limit of $1,000 in commissions per referred customer, which includes commissions from multiple accounts associated with the same customer.

‍Exclusion of Domain Name Purchases: Any sales involving the purchase of domain names by referred customers are excluded from commissionable earnings. Domain name purchases will not count toward the Affiliate’s commission total.

‍Exclusion of Managed Clients: The Affiliate may not refer any customer that they manage directly, whether for consulting, marketing, or other services. The Program is intended for organic referrals through content such as blogs, websites, social media posts (e.g., LinkedIn), or other promotional efforts.

4. Affiliate ResponsibilitiesPromotion Channels: Affiliates may promote Mailreef using various channels such as personal blogs, websites, newsletters, and social media platforms (e.g., LinkedIn, Facebook, Twitter). However, promotions must not involve any deceptive or misleading claims regarding Mailreef services.

‍Prohibited Referrals: Affiliates may not use the Program to refer clients they manage professionally or through any kind of direct service or consultation. Referrals are expected to come from independent promotional efforts rather than managed client relationships.

5. Payout StructurePayment Schedule: Commissions are paid on a monthly basis, provided the Affiliate’s balance meets the minimum threshold of $100. Payments will be made via PayPal or bank transfer as specified by the Affiliate during sign-up.

‍Refund Adjustments: If a referred customer cancels their subscription, requests a refund, or fails to complete payment, the corresponding commission will be deducted from the Affiliate’s balance.

6. Multiple Accounts by One CustomerIn cases where a referred customer creates multiple accounts, commissions earned from that customer will be aggregated. The $1,000 commission cap applies to the total commissions across all accounts associated with that customer, not on a per-account basis.

7. Program LimitationsTermination or Modification: Mailreef reserves the right to modify or terminate the Affiliate Program at any time. Any changes will be communicated to Affiliates through email or other contact methods provided. Continued participation in the Program after any modifications will constitute agreement to the revised terms.

‍Disqualification: Affiliates who violate any terms of this Agreement, including attempting to manipulate the Program by referring managed clients, may be removed from the Program and forfeit all outstanding commissions.

8. Intellectual PropertyAffiliates may use Mailreef’s trademarks, logos, and approved marketing materials solely for the purpose of promoting Mailreef in compliance with this Agreement. Any misuse of these materials, including unauthorized changes, may result in termination of the Affiliate’s participation in the Program.

9. IndemnificationThe Affiliate agrees to indemnify, defend, and hold harmless Mailreef from any and all claims, damages, liabilities, and expenses arising from or related to the Affiliate’s participation in the Program, including but not limited to any violation of this Agreement or applicable law.

10. Governing LawThis Agreement is governed by and construed in accordance with the laws of the state in which Mailreef is headquartered, without regard to its conflict of laws principles.

11. MiscellaneousIndependent Contractors: Participation in the Affiliate Program does not create any partnership, employment, or agency relationship between Mailreef and the Affiliate.

‍Entire Agreement: This Agreement constitutes the entire understanding between the parties with respect to the subject matter hereof and supersedes all prior agreements, whether written or oral, related to the subject matter hereof.
